- Organize and manage Board and Committee meetings in accordance with company bylaws and legal frameworks
- Maintain registers of director interests, board resolutions, and voting records
- Draft, distribute, and archive board meeting agendas, minutes, and related documentation
- Coordinate with internal departments (CEO office, HR, Legal, Risk, Finance) to ensure timely communication and governance alignment
- Assist in managing General Assembly/Shareholder meetings and ensure all compliance filings and disclosures
- Serve as a key liaison with regulatory authorities and ensure compliance with relevant corporate governance legislation
- Track board remuneration and secretariat budget-related matters
- Update bylaws and governance policies in alignment with regulatory updates
- Support new board member onboarding and coordinate governance training
- Provide operational and documentation support in the preparation of the annual report
- Monitor regulatory changes that affect the Board and assist in amending governance policies accordingly
- Provide ongoing administrative support to the Head of Legal & Corporate Governance
- Bachelor's degree in Law, Business Administration, or a related discipline
- Strong knowledge of UAE corporate governance practices and regulatory compliance
- Minimum of 5 years' experience in board secretarial support, preferably in the banking or financial sector
- High attention to detail and strong organizational and communication skills
- Ability to maintain confidentiality and manage high-stakes documentation
- Comfortable collaborating across legal, compliance, and executive teams
- Fluent in English; Arabic is an advantage
- Contribute to high-level governance and board management within a major organization
- Engage in regulatory affairs and work with executive leadership
- Be part of a professional, structured legal and compliance team
