- Draft, review, and negotiate a wide range of commercial agreements, including but not limited to, supply agreements, distribution agreements, service agreements, and licensing agreements.
- Provide legal guidance on contract interpretation, risk assessment, and dispute resolution strategies.
- Structure, negotiate, and execute joint venture agreements and strategic partnerships.
- Advise on legal aspects of joint venture formation, governance, and dissolution.
- Develop, implement, and enforce corporate governance policies and procedures to ensure compliance with ADGM regulations and international best practices.
- Provide counsel to senior management and board members on corporate governance matters, including director duties, shareholder rights, and corporate disclosures.
- Draft, review, and facilitate board resolutions, minutes, and corporate governance documentation.
- Ensure that board actions comply with legal requirements and corporate governance principles.
- Oversee the process of establishing new companies within the ADGM jurisdiction, including drafting incorporation documents, shareholder agreements, and memoranda of association.
- Coordinate with external advisors and regulatory authorities to obtain necessary approvals and licenses.
- Stay updated on ADGM regulations, as well as legal developments in other relevant jurisdictions.
- Conduct legal research and analysis to assess compliance risks and implement appropriate mitigation strategies.
- Utilize expertise in ADGM regulations and familiarity with other jurisdictions to advise on cross-border transactions, international corporate structures, and legal implications of business expansion.
