- Manage corporate governance processes including board meetings, shareholder meetings, and statutory corporate filings across regional entities.
- Provide legal guidance on mergers and acquisitions including due diligence, agreement drafting, negotiation, and transaction closing processes.
- Ensure full compliance with corporate laws and regulations including applicable Companies Law requirements.
- Assess directors' liabilities and develop governance frameworks that protect the interests of the company and its leadership.
- Draft and negotiate corporate agreements including shareholder agreements, joint venture agreements, partnership agreements, and intercompany contracts.
- Provide legal advice on strategic corporate matters such as capital restructuring, changes in directorship, dividend declarations, and corporate structuring.
- Prepare corporate approvals including board resolutions, shareholder resolutions, powers of attorney, and delegated authorities.
- Oversee the legal governance and compliance of subsidiaries including incorporation, restructuring, and liquidation procedures when required.
- Support capital market activities including rights issues, disclosures, share repurchase programs, and capital restructuring initiatives.
- Coordinate with external legal advisors and law firms on complex corporate transactions, disputes, and regulatory matters.
- Bachelor of Laws degree from a recognized university.
- Master of Laws in Corporate Law or related specialization is considered an advantage.
- Professional legal qualification or admission to practice law in a recognized jurisdiction is preferred.
- Minimum five years of post-qualification experience focused on corporate law, governance, and transactional legal matters.
- Experience working in leading international law firms or corporate legal departments of multinational or listed companies.
- Strong understanding of corporate governance and company law frameworks within the MENA region.
- Strong contract drafting, negotiation, and legal analysis skills.
- Ability to manage complex corporate matters across multiple jurisdictions.
- Excellent written and verbal communication skills in English and Arabic.
